1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Past Lives AI website, applications, and related services (collectively, the “Service”) operated by Past Lives AI (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Definitions

“Content” means any text, images, or other materials you submit to the Service, including photos and names. “Portraits” means the AI-generated images created by the Service based on your Content. “Credits” means the virtual units used to pay for generations on the Service. “User” or “you” means the individual or entity using the Service.

3. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction to consent to use of online services) to use the Service. If you are under 18, you represent that you have your parent’s or guardian’s permission to use the Service and to agree to these Terms. We may require proof of age or consent at any time. The Service is not intended for users in jurisdictions where use would be prohibited by law.

4. Description of the Service

Past Lives AI allows you to upload a photo and a name, select a historical era, and receive AI-generated portraits styled for that era (“Portraits”). The Service relies on third-party AI providers (such as Replicate) and media infrastructure (such as Cloudinary) to generate, process, and deliver images.

We do not guarantee any particular quality, style, or accuracy of Portraits. AI output may vary and can sometimes be imperfect or unexpected. The Service may be modified, suspended, or discontinued in whole or in part at any time, with or without notice. We are not liable to you or any third party for any change, suspension, or discontinuation.

5. Accounts and Registration

You may use certain features of the Service without creating an account (e.g. anonymous use with limited Credits). To access additional features, retain Credits across sessions, or save Portraits to an account, you must sign in through a supported third-party provider (e.g. Google). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use.

We may require you to provide additional information to verify your identity or eligibility. Providing false or misleading information may result in suspension or termination of your access.

6. Credits and Payment

Credits. Generations consume Credits as described in the Service. We may offer a limited number of free Credits for first-time or anonymous users. Credits have no cash value and cannot be exchanged for cash or transferred to other users except as we may explicitly allow.

Purchases. Credit packs and other paid offerings are sold through our payment processor, Stripe. By purchasing, you agree to Stripe’s terms and any applicable tax and refund policies. All fees are in the currency displayed at checkout and are non-refundable except as required by law or as stated in our refund policy (if any) at the time of purchase. We may change pricing, Credit amounts, or free-trial terms with reasonable notice where required by law.

Chargebacks and fraud. If you dispute a charge with your bank or card issuer without a valid reason, or if we detect fraud or abuse, we may suspend or terminate your account and pursue recovery of any amounts due.

7. Your Content and Conduct

Your Content. You retain ownership of Content you submit. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, reproduce, and transmit that Content solely to operate the Service (including generating Portraits and delivering them to you). This includes sharing Content with our AI and infrastructure providers as necessary to provide the Service. We do not use your Content for training AI models for purposes unrelated to providing the Service to you, except as permitted by our Privacy Policy or with your consent.

Representations. You represent and warrant that: (a) you own or have the necessary rights to submit your Content and to grant the license above; (b) your Content does not infringe any third party’s intellectual property, privacy, or other rights; and (c) your Content complies with these Terms and all applicable laws. You are solely responsible for your Content and any Portraits generated from it.

Prohibited Content and Conduct. You may not submit Content or use the Service to: (i) violate any law or encourage illegal activity; (ii) infringe any intellectual property or other rights; (iii) harass, abuse, defame, or harm others; (iv) impersonate any person or entity; (v) upload malware or attempt to gain unauthorized access to our or others’ systems; (vi) circumvent usage limits, security measures, or billing; or (vii) use the Service for any purpose that is fraudulent or otherwise inconsistent with these Terms. We may remove Content, suspend or terminate access, and report conduct to authorities as we deem appropriate.

8. AI-Generated Portraits

Portraits are generated by automated systems. We do not guarantee that Portraits will be accurate, appropriate for any particular use, or free from errors or artifacts. You use Portraits at your own risk. You may use Portraits you generate for personal and social sharing in accordance with these Terms and applicable law. You may not use Portraits to mislead others (e.g. to imply they are non-AI-generated historical records) or for any illegal or prohibited purpose. Some jurisdictions may impose additional rules on AI-generated content; you are responsible for compliance.

9. Intellectual Property

Except for your Content and the Portraits you generate, the Service and all content, features, and technology (including software, design, text, graphics, and branding) are owned by us or our licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Service or our intellectual property except as expressly permitted.

We do not claim ownership of Portraits you generate. Subject to your compliance with these Terms, you may use your Portraits for personal and social sharing. We may retain copies of Portraits and Content as needed to operate the Service, enforce these Terms, and comply with law, as described in our Privacy Policy.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information. By using the Service, you consent to the practices described in the Privacy Policy. If you do not agree with the Privacy Policy, you must not use the Service.

11. Disclaimers

THE SERVICE AND ALL PORTRAITS AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We do not endorse, and are not responsible for, any third-party services, content, or conduct. Your use of third-party sign-in, payment, or other services is at your own risk and subject to their terms.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAST LIFE AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Past Lives AI and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your Content or Portraits; (c) your violation of these Terms or any law; or (d) your violation of any third party’s rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms, fraud, abuse, or for operational or legal reasons. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive termination.

You may stop using the Service at any time. If you have an account, you may request account deletion through the Service (e.g. in Settings). Deletion is subject to our data retention and legal obligations as described in our Privacy Policy.

15. Dispute Resolution and Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue relief in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

If you are located in the European Union or another jurisdiction that requires mandatory consumer protection or dispute resolution mechanisms, nothing in this section limits your statutory rights.

16. Changes to the Terms

We may modify these Terms at any time. We will post the updated Terms on the Service and update the “Last updated” date. For material changes, we may also notify you by email (if we have it) or through a prominent notice in the Service. Your continued use of the Service after the effective date of the changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

We may modify, suspend, or discontinue features or the entire Service at any time. We will use reasonable efforts to communicate significant changes where appropriate.

17. General

Entire agreement. These Terms, together with our Privacy Policy and any other policies or guidelines we publish on the Service, constitute the entire agreement between you and Past Lives AI regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms or our rights and obligations without restriction.

Force majeure. We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control (e.g. natural disasters, war, pandemics, government actions, or failures of third-party providers).
